1. Agreement to Terms

By accessing or using the Magnifique.AI platform and related services (the “Service”), including any websites, applications, APIs, AI agents, Mission Control dashboards, integrations, and related features operated by Magnifique.AI (“Company,” “we,” “us,” or “our”), you (“Customer,” “you,” or “your”) agree to be bound by these Terms and Conditions.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization.

2. Definitions

• Mission Control — A private AI workspace provisioned for you on our infrastructure, including all agents, configurations, data, and generated content within it.
• Agent — An AI-powered digital specialist or team deployed within your Mission Control.
• Blueprint — A pre-configured set of agent configurations, skills, and system prompts that define an Agent's capabilities.
• Workspace Data — All data stored within your Mission Control, including agent configurations, conversation logs, generated content, uploaded files, memory data, and integration data.
• BYOK (Bring Your Own Key) — The optional feature allowing you to provide your own LLM API keys.
• Generated Content — Any output produced by Agents within your Mission Control.

3. The Service

Magnifique.AI provides a managed platform for deploying and operating AI agents. When you subscribe, we provision a Mission Control using your selected blueprint. Agents can perform tasks including content generation, research, data analysis, drafting communications, summarization, planning, and workflow automation.

We target 99.5% monthly uptime for the Platform dashboard and aim for high availability of individual Mission Controls. We may perform scheduled maintenance with advance notice.

Agents are AI systems, not humans. Agent outputs may contain inaccuracies, omissions, or bias. You are solely responsible for reviewing, verifying, and approving all output before use.

4. Accounts & Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 18 years old (or the age of majority in your jurisdiction).

5. Subscriptions & Billing

The Service is offered in subscription tiers with different features and pricing. Subscriptions are billed in advance on a recurring basis. Payments are in USD unless otherwise specified.

• Specialist: $49/mo — 1 specialist + 1M tokens/mo
• Team: $149/mo — 3 specialists + 5M tokens/mo
• Command: $249/mo — Multiple teams + 15M tokens/mo

We may modify tiers, features, or pricing with at least 30 days' notice to existing subscribers. Subscriptions are non-refundable except where required by law.

6. Acceptable Use

You may use the Service for lawful business and personal productivity purposes. You must not use the Service to:

• Violate any applicable law or regulation
• Generate harmful, exploitative, or deceptive content
• Impersonate real individuals without consent
• Attempt to access other customers' data or disrupt the Service
• Reverse engineer, decompile, or derive source code from the Platform
• Send unsolicited bulk messages or automate mass scraping
• Provide regulated professional advice without proper oversight and licensing

We may investigate suspected violations and take actions including warnings, suspension, or termination. Report suspected abuse to abuse@magnifique.ai.

7. Intellectual Property

You retain ownership of your content. Generated Content produced by Agents within your Mission Control is owned by you, subject to: (a) you are responsible for ensuring it doesn't infringe third-party rights; (b) AI-generated outputs may not be copyrightable in all jurisdictions; (c) we do not guarantee uniqueness of outputs.

We do not use your Workspace Data or Generated Content to train our AI models or improve the Service for other customers.

8. Data, Privacy & Security

We process Workspace Data solely to operate the Service for you. Our practices are described in our Privacy Policy. We use technical and organizational measures to isolate customer data.

No system is perfectly secure. While we implement safeguards, you acknowledge that the Service may be subject to vulnerabilities. You are responsible for maintaining appropriate security practices on your end.

9. BYOK (Bring Your Own Key)

When using BYOK, you are responsible for all costs from your provider, compliance with their terms, and key security. We store BYOK keys encrypted and display only masked previews. Keys are transmitted only to the selected provider endpoint.

10. Warranties & Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will meet your requirements, that outputs will be accurate, or that the Service will be uninterrupted or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, the Company's total aggregate liability will not exceed the greater of: (a) amounts you paid in the 12 months preceding the claim, or (b) $100 USD. In no event will the Company be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages.

12. Termination

You may cancel at any time. Cancellation takes effect at the end of your billing period. We may suspend or terminate access for material violation of these Terms, overdue payment exceeding 30 days, security or legal risks, or if required by law.

13. Dispute Resolution

Before formal proceedings, both parties will attempt good-faith informal resolution for at least 30 days. To the maximum extent permitted by law, disputes will be resolved on an individual basis. You waive any right to participate in a class, consolidated, or representative action.

14. General Provisions

We may modify these Terms with at least 30 days' notice. If any provision is invalid or unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent.
